- Updated on
- La rédaction
The short answer
Incorporation follows a sequence: investment or activity authorisation if needed, company name, articles of association, payment of capital, registration, tax and social security registration, then a bank account. Timeframes depend on the activity and on how complete the file is.
Steps
| # | Step | Note |
|---|---|---|
| 1 | Define the activity and the form | See legal forms |
| 2 | Authorisation, if any | Depending on the activity and the partners |
| 3 | Company name | Check availability |
| 4 | Drafting the articles of association | By a lawyer or a gestor |
| 5 | Deposit and payment of capital | SL capital: 3,000 €verified on 09/10/2026 |
| 6 | Registration | Companies register |
| 7 | Tax and social security registration | Opening the files with the administrations |
| 8 | Bank account | See company account |
| 9 | Activity licence | Depending on the sector |
Incorporation timeframe: it depends on the foreign investment authorisation (decision within 2 monthsverified on 09/10/2026 where it applies), on the notary and on registration in the register.
After incorporation
Proper accounting, regular filings and a genuine place of business are ongoing obligations. See accounting and gestoria.
The full procedure, step by step
The steps below follow the procedure for incorporating a public or private limited liability company described by the Andorran Chamber of Commerce, Industry and Services and by the companies law (consolidated text of 2014). Forms and fees change: have each point confirmed by the notary or the gestor before starting the file.
- Fix the form and the structure. SL, SLU or SA, partners, governance: see the legal forms.
- Reserve the company name. The reservation certificate is valid for 6 monthsverified on 12/10/2026 from its issue and reserves the name for the future signatories of the deed.
- Obtain the foreign investment authorisation if it applies. It concerns the creation of a company and shareholdings above 10 %verified on 09/10/2026 for a non-resident or a recent resident. Decision within 2 monthsverified on 09/10/2026, extendable by 1 monthsverified on 09/10/2026, silence amounting to refusal: see setting up a company without residing there.
- Pay in the capital. Minimum capital 3,000 €verified on 09/10/2026 for an SL, 60,000 €verified on 09/10/2026 for an SA. The law requires each share to be subscribed for at least its nominal value and fully paid up by an actual contribution.
- Sign the deed of incorporation before an Andorran notary, with the articles of association, the name certificate and, where applicable, the foreign investment authorisation.
- Register the company in the companies register. Registration is mandatory and the company acquires legal personality from it.
- Obtain the activity authorisations. A company carrying out a commercial, industrial or service activity registers in the commerce and industry register, after authorisation from the Comú concerned and then from the government.
- Declare the beneficial owners and register the company with the tax authority, then open the operating account: see company account.
What takes the most time
It is not the signing at the notary. It is the investment authorisation for a non-resident, the municipal and governmental authorisations for the activity, and the opening of the bank account. Plan for them in parallel rather than one after another.
After incorporation
The company must keep accounts, prepare its annual accounts within 6 monthsverified on 12/10/2026 after the year-end, have them approved and file them with the register: see accounting and gestoria.
