Before signing anything

The 5 mistakes that make a business set-up in Andorra fail.

It is not the law that traps founders: it is what they discover too late. Here they are, ahead of time.

Pitfall no. 1

Launching the company without the investment authorisation.

For a non-resident, or a resident for less than 3 years, setting up a company requires prior authorisation: decision within 2 months, and the administration's silence means refusal. A poorly prepared file means months lost.

Pitfall no. 2

Choosing a regulated activity without the licence.

Healthcare, architecture, accounting, real estate brokerage, finance, crypto-assets: recognised qualifications, registration or licence before starting. Offering your services "as advice" before being licensed is penalised.

Pitfall no. 3

Creating a company without substance.

A letterbox in Andorra with decisions taken from France is the set-up most often challenged. Banks and the administration look at the real activity, the place of management, the contracts.

Pitfall no. 4

Underestimating the real cost of an employee.

A gross salary of €3,000 a month costs the employer €3,465 with the CASS contribution of 15.5 %. Multiply by 12 and by the number of positions before building your plan.

Pitfall no. 5

Forgetting the exit tax when leaving France.

If you hold shareholdings exceeding 800,000 € (or half of a company's profits), leaving may trigger taxation. It must be prepared before the move.

The process

Six steps, one point of contact, no grey areas.

  1. 1

    Project assessment

Activity, regime (free, licensed, regulated), legal form, targeted residency: we frame the project before you spend a single euro.

  2. 2

    Investment authorisation

File prepared for the prior authorisation where it applies, with the real timetable for the decision.

  3. 3

    Incorporation of the company

Articles of association, capital, notary, registrations: with our partner professionals on site.

  4. 4

    Licences and obligations

Parish business licence, registration with the IGI and the CASS, declaration of employees.

  5. 5

    Compliant banking

Compliance file (origin of funds, activity, counterparties) prepared so that opening the account does not hold up the project.

  6. 6

    Residency and accounting

Active residency linked to the activity, gestoria and tax calendar: you start off compliant.

What you get

A set-up file prepared the way a firm would do it.

From the idea to a business that invoices, without running between five different contacts.

  • No figure without a source and a date.
  • We tell you if your project makes no sense in Andorra.

This is probably not for you if…

  • You are looking to conceal income: we do not work that way.
  • You have no identified activity and no start-up budget.

Included in our support

  • Activity assessment : regime, authorisation, possible licence
  • Choice of legal form : SL, SLU or SA, depending on your case
  • Start-up budget : capital, employees, contributions, tax
  • Authorisation file : prepared with the decision timetable
  • Banking and accounting : compliance file, gestoria
  • Residency linked to the activity : targeted status and documents to gather
  • Client area and assistant : progress, documents, answers at any hour

Your objections

The questions every founder asks.

SL or SLU: which one should I choose?+

An SLU is an SL with a single shareholder: same minimum capital (3,000 €), simpler governance. With several shareholders, the SL allows a shareholders' agreement. For a large-scale project, the SA (minimum capital 60,000 €) is more flexible but heavier.

Do I need to live in Andorra to set up a company?+

Not for the company itself, but setting up by a non-resident, or a resident for less than three years, requires a foreign investment authorisation (decision within 2 months, silence means refusal). To settle in Andorra, independent active residency is the usual route.

Can I keep my French activity and set up an Andorran structure?+

It is possible, but it is the set-up that leads to the most tax reassessments when it is artificial. The Andorran company must have a real activity, decisions taken on site and effective management consistent with your residency. We look at this point first.

What is the real cost of an employee?+

On top of the gross salary comes the employer contribution to the CASS (15.5 %). For a gross salary of €3,000 a month, the employer cost is about €3,465 a month. The simulator above calculates your case.

Is my activity regulated?+

Healthcare, architecture, accounting, real estate brokerage, finance and crypto-assets require recognised qualifications, a registration or a licence before any start. Our 20 activity sheets set out the regime of each one.

How much does it cost to work with you?+

The assessment and the first consultation are free and without commitment. The fees of the professionals (lawyer, gestor, notary) are given to you in writing before any commitment, and you remain free to choose another professional.

How long before I can start?+

It depends on the activity, the authorisation (decision within 2 months, with a possible extension), the bank and your file. We give you a realistic timetable at the first consultation, not a promise.
